Legal Counsel (m/f/d) Focus on IT Contract Law and Contract Management
Your Responsibilities
- Contract, IT and commercial law across all of our national and international business areas.
- Ownership of drafting, reviewing, adapting and negotiating customer, partner and supplier contracts, with a focus on IT and software contract law.
- Independent drafting and negotiation of software licence, SaaS, subscription, software maintenance and cloud service agreements.
- Reviewing, drafting and negotiating data protection documents, in particular data processing agreements, data protection schedules and customer-specific compliance requirements.
- Managing the full contract lifecycle, from the offer through negotiation to signature, as well as looking after existing contractual relationships.
- Independent assessment of emerging legal questions, including establishing the facts in light of current case law, and tracking and evaluating legal developments.
- Developing, standardising and improving contract templates, clause libraries and internal approval processes.
- Legal advice and support for our sales, partner and customer success teams in contract negotiations, including taking part in client negotiations yourself, nationally and internationally
- Identifying, assessing and mitigating legal and commercial risks in contracts, taking regulatory requirements and business interests into account.
- Close collaboration with management, sales, partner management and data protection officers on complex contract and compliance topics.
What You Bring
- Your career is built on a completed degree in law, business law, or a comparable course of study with a legal focus
- Several years of professional experience in contract management, commercial law or IT law, ideally within a software, SaaS or technology company.
- Sound knowledge of software contract law, cloud services and SaaS models
- Experience negotiating complex B2B contracts with customers, partners and service providers.
- A strong grasp of commercial context and the ability to assess legal risk pragmatically and with the business in mind.
- A confident presence with customers and negotiating partners, along with strong communication and assertiveness.
- Business fluent German and English.
- Strong advisory and problem solving skills, paired with a pragmatic approach.
